常务董事
常务董事是股份公司章程条例所确定的，随公司意愿而设立的业务执行机关，是在董事会闭会期间秉承董事长旨意，负责办理董事会各项常务事宜的董事。一般公司法规定常务董事的选举方式是应有三分之二以上的董事出席，出席董事过半数同意，互选的名额至少为三人，最多不得超过董事的三分之一，其资格须为董事，并须半数以上在国内有住所。
